Business Unit Overview
The ITS/M&A unit specializes in advising multinational clients on complex cross-border transactions and tax structuring. Our focus is on delivering strategic solutions that optimize tax efficiency while ensuring compliance with evolving international regulations. The team provides end-to-end support on mergers, acquisitions, and integrations, including due diligence, tax modeling, and post-deal planning. By combining deep technical expertise in international tax with advanced analytics and technology, we help clients navigate intricate deal structures, mitigate risks, and unlock value. Through global collaboration and thought leadership, ITS/M&A drives innovative approaches to meet the demands of today’s dynamic business environment.
How You’ll Contribute
As a Director in International Tax Services / M&A, you will serve as a senior leader responsible for shaping and driving complex cross‑border tax advisory strategies across the region. You will oversee large, multi‑jurisdictional engagements, guide clients through transformative transactions, and influence firmwide priorities in the international tax and deals space. Your role will focus on providing strategic direction, cultivating senior client relationships, and ensuring the highest standards of technical excellence and delivery quality.
- You will lead and originate high-impact tax advisory mandates, spanning tax structuring, diligence, modeling, and end-to-end transaction support for mergers, acquisitions, reorganizations, and international expansions. You will act as a key advisor on both inbound and outbound investments, with strong expertise in navigating multi-jurisdictional tax implications and optimizing global operating models.
- A core part of your role will be to interpret evolving international tax frameworks and regional regulations, converting them into strategic, commercially relevant insights for executive‑level stakeholders. You will collaborate extensively across the regional and global network, contributing to the development of firmwide tax positions, innovative structuring approaches, and cross-service-line solutions.
- You will be responsible for designing, validating, and operationalizing complex tax‑efficient structures, aligning legal, finance, and commercial workstreams during deal execution. This includes shaping client operating models, governance frameworks, and implementation roadmaps.
- As a senior leader, you will mentor and develop high-performing teams, providing direction to Managers, Seniors, and Associates while embedding rigorous quality, risk management, and client service standards. You will drive clarity in ambiguous situations, enabling teams to deliver seamlessly on fast‑moving, multi‑stakeholder transactions.
- You will also play a pivotal role in business development and market leadership—cultivating executive relationships, leading RFPs, shaping go‑to‑market offerings, and partnering across the global network to build a strong pipeline for the ITS/M&A practice.
- Your remit will include leading outbound advisory initiatives, overseeing structuring strategies for clients expanding into new jurisdictions, and managing associated tax, regulatory, and operational risks.
- Additionally, you will contribute to thought leadership, internal capability building, and regional knowledge assets, including methodologies, playbooks, training sessions, and insights tailored to the Middle East M&A and international tax landscape.
- You will remain at the forefront of global and regional tax developments, proactively advising clients and internal stakeholders on the implications for deal strategy, structuring, compliance, and long‑term tax planning.
What You’ll Bring
- Demonstrated experience in tax advisory and international tax matters, including exposure to cross-border and outbound tax advisory, ideally with general familiarity with Pillar Two regulations.
- Education: Bachelor’s degree in accounting, Finance, Economics, or related field; advanced degree preferred.
- Designations & Certifications: Professional qualifications such as CPA, ACCA, CA, or equivalent.
- Technical Skills: strong knowledge of international tax principles, cross-border transaction structuring, and M&A tax considerations and well as proficiency in tax due diligence, deal modeling, and integration planning.
Soft Skills:
- Leadership and team management capabilities.
- Excellent communication and stakeholder engagement skills.
- Problem-solving and strategic thinking under tight deadlines.
- Language Skills: Fluency in English; Arabic is an advantage.
Travel Requirements: Your flexibility to travel. This means we may require you to work away from your base office location on a regular basis and frequent overnight stays may be required. Where possible, we will take your preferences into account and strike a balance between meeting your career development/personal needs and those of the business and our clients.
