Position: Junior Commercial & Legal Officer

Summary:


Providing regional and corporate legal advice and support.

Ensuring that all regional Client & Contractor Contracts are reviewed and drafted in with sound commercial and legal knowledge, and in accordance with NES Fircroft’s internal procedures and commercial risk principles.

Ensuring that all corporate matters are conducted on a sound commercial and legal basis in accordance with NES Global Talent’s internal procedures.

Key Responsibilities:


· Provide professional advice and guidance to colleagues at all levels of seniority, building a reputation as a reliable source of commercial and legal support.

· Assess risk across the areas of the business relating to the Region and make informed decisions within the permitted risk parameters.

· Maintain integrity of commercial risk mitigation and ensure internal compliance with NES’s Schedule of Management Authority (SOMA).

· Negotiate contract terms and conditions with external clients.

· Advise on contract interpretation and commercial risk to internal clients.

· Defend NES’s positioning with respect to disputes, breaches under the client contract (debt, travel and expense cost reimbursement, termination and notice periods), or contractor terminations and any claims raised by contractors relating to such terminations or other aspects of their assignment.

· Research and advise on labor/employment law across all jurisdictions in the Region and how this impacts the commercial terms of the contracts being negotiated.

· Maintain Template Client Contracts for each jurisdiction in the Region.

· Liaise with insurance brokers to understand current policies in respect of client requirements, manage claims and support Commercial and Legal Director (CLD) in renewal process, where necessary.

· Undertake legal reviews and manage activities associated with establishing and maintaining registered entities and licenses, working closely with the manager where needed.

· Work collaboratively with Global Compliance in the creation of Client Specific Requirement forms (CSRs) and tailoring of template employment agreements for each individual client.

· Work collaboratively with Risk Manager to provide health & safety oversight, reporting internally, to clients and authorities.

· Inform the Commercial & Legal Manager of material matters and seeking final sign-off and approvals from CLD on client, contractor and legal matters.

· Manage own time, ensuring achievement of Service Level Agreement (3 days) for internal clients.

Person Specification:

· Knowledge of employment law and commercial matters generally.

· Experience of working in a pressured environment and ensuring the delivery of projects to timescales.

· Able to present arguments in a coherent, logical and authoritative manner such that the stakeholder feels confident in accepting the advice or recommendation even when it goes against their preferred outcome, to enable the business to make a balanced informed decision.

· Combines commercial & legal expertise with professional integrity to bring value to the organization, stakeholders and peers.

· Able to observe, listen, question and challenge to ensure an analysis of the risk and solutions available.

· Takes account of values, corporate governance and commercial risks in decision making and is able to influence and deliver the required objective commercial advice without manipulation.

Qualifications and experience:

· Experience of working in house, or in private practice if the firm experience is relevant.

· Qualified legal professional with PQE minimum 0-2 years

· Degree required from an accredited law school; or more than 5+ years’ related experience and/or training; or equivalent combination of education and experience.
